Terms of Service

Please read these terms carefully before using MFDTools.in. By using the Platform, you agree to be bound by these provisions.

You must hold a valid AMFI-registered ARN or SEBI RIA registration to use the Platform.

No refunds

All subscription purchases are final due to the digital nature of immediate access.

Your client, your responsibility

You are solely liable for any advice or reports shared with clients using our outputs.

1. Acceptance of Terms

Binding Agreement

  • By accessing or using MFDTools.in ("the Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), along with our Privacy Policy, which is incorporated herein by reference.
  • These Terms constitute a legally enforceable agreement between you ("User," "you," or "your") and MFDTools.in ("we," "us," or "our"), operated under applicable Indian laws.
  • If you do not agree to any part of these Terms, you must discontinue use of the Platform immediately.

Updates to Terms

  • We reserve the right to modify these Terms at any time. Material changes will be communicated via email to your registered address and/or through a prominent notice on the Platform at least 15 days before taking effect.
  • Continued use of the Platform after the effective date of any revised Terms constitutes your acceptance of those changes.

2. Description of Service

What MFDTools.in Provides

  • MFDTools.in is a web-based software platform offering 75+ tools designed for Mutual Fund Distributors (MFDs), Registered Investment Advisors (RIAs), and financial professionals in India.
  • Our tools include, but are not limited to: SIP calculators, goal planning modules, scheme comparison engines, brokerage assessment tools, client report generators, risk profiling frameworks, sales drill analytics, and AUM growth trackers.
  • The Platform is provided as a Software-as-a-Service (SaaS) solution accessible via web browser. We do not provide desktop software, mobile applications, or browser extensions unless explicitly stated.

What MFDTools.in Does NOT Provide

  • MFDTools.in is NOT a mutual fund distributor, a registered investment advisor, a portfolio management service, or a stockbroker.
  • We do not buy, sell, hold, or manage any securities or mutual fund units on your behalf or on behalf of your clients.
  • We do not provide execution platforms for mutual fund transactions. You must use AMCs, MFUtility, or other registered platforms for actual transactions.
  • We do not maintain client KYC records, folio management systems, or CAMS/KFintech integrations unless explicitly listed as a feature.

3. Eligibility & Account Registration

Who Can Use MFDTools.in

  • You must be at least 18 years of age.
  • You must be an AMFI-registered Mutual Fund Distributor holding a valid ARN (AMFI Registration Number), or a SEBI-registered Investment Advisor (RIA), or a financial professional authorised to distribute mutual fund products in India.
  • By creating an account, you represent and warrant that your ARN/RIA registration is valid, current, and in good standing.

Account Responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must immediately notify us of any unauthorised access to or use of your account.
  • You are solely responsible for all activities that occur under your account, whether or not you authorised them.
  • Providing false, inaccurate, or misleading registration information (including an invalid or expired ARN) is a material breach of these Terms and may result in immediate account suspension or termination.
  • Each individual must maintain their own account. Account sharing is strictly prohibited unless explicitly authorised by us in writing.

4. Subscription & Payment Terms

Subscription Plans

  • Access to premium features on MFDTools.in requires an active paid subscription. We offer 6-month and 12-month plans, with pricing as displayed on our Pricing page at the time of purchase.
  • Plan pricing, features, and availability are subject to change at our discretion. Existing subscribers will be notified of any changes at least 30 days before their next renewal.
  • Promotional pricing (including "Early Bird" or "Founding Member" offers) is limited to the stated eligibility criteria and time period. We reserve the right to end promotional pricing at any time without prior notice to non-subscribers.

Payment Processing

  • All payments are processed securely through Razorpay Payment Gateway. We do not store your payment card details, UPI credentials, or bank account information on our servers.
  • By completing a payment, you authorise Razorpay to charge your chosen payment method for the selected subscription amount.
  • Payment confirmation is typically instant, but in rare cases may take up to 24 hours. Access to premium features will be granted upon confirmed payment.

Renewal & Expiry

  • Subscriptions are not auto-renewed unless explicitly stated at the time of purchase. You will receive reminders before your subscription expires.
  • If you do not renew before expiry, your account will revert to a limited-access or read-only state, and premium features will be inaccessible. Your data will be retained for 90 days post-expiry, after which it may be permanently deleted.

Refund Policy

  • Due to the digital nature of our service and the immediate access to proprietary tools and algorithms, all subscription purchases are final and non-refundable.
  • Exceptional cases (e.g., duplicate charges, technical failures preventing access) will be evaluated on a case-by-case basis at our sole discretion. Refund requests must be submitted within 7 days of the transaction via query@mfdtools.in.
  • We do not offer prorated refunds for unused portions of a subscription period.

5. Disclaimer of Investment AdviceImportant

Critical Disclaimer

  • MFDTools.in is a calculation and analysis tool. It does NOT provide investment advice, recommendations, or opinions on any mutual fund scheme, asset class, or investment strategy.
  • The calculators, projections, and reports generated by the Platform are based on mathematical models using the inputs you provide and/or publicly available historical data. They are illustrative in nature and do not guarantee future returns.
  • Past performance of any mutual fund scheme — whether displayed, analysed, or compared on the Platform — does not guarantee or indicate future performance.
  • You are solely responsible for any investment advice, recommendations, or decisions you provide to your clients using outputs from MFDTools.in.

Your Professional Obligations

  • As an AMFI-registered distributor or SEBI-registered advisor, you are bound by the code of conduct, suitability requirements, and disclosure obligations prescribed by AMFI, SEBI, and AMCs.
  • You must not represent MFDTools.in outputs as SEBI-compliant advice, certified financial plans, or guaranteed projections unless you have independently verified and validated them in accordance with applicable regulations.
  • MFDTools.in shall not be held liable for any client complaints, regulatory actions, or financial losses arising from your use of Platform outputs in client interactions.

6. Acceptable Use Policy

Permitted Use

  • Using the Platform for legitimate professional purposes related to mutual fund distribution, financial advisory, and client engagement.
  • Generating reports and calculations for your own use or for sharing with your bona fide clients.
  • Providing honest feedback and feature requests.

Prohibited Activities

  • Using the Platform for any unlawful purpose or in violation of SEBI regulations, AMFI guidelines, or any applicable Indian law.
  • Reverse engineering, decompiling, disassembling, or attempting to extract the source code, algorithms, or proprietary logic of any tool on the Platform.
  • Scraping, crawling, or using automated tools to extract data, content, or calculations from the Platform in bulk.
  • Reselling, sublicensing, redistributing, or commercially exploiting access to the Platform or its outputs without our express written consent.
  • Impersonating another person, using a false ARN, or creating multiple accounts to circumvent pricing or access restrictions.
  • Uploading malicious code, viruses, or any material that could damage or interfere with the Platform's infrastructure.
  • Using the Platform to generate misleading, fraudulent, or deceptive reports or projections.
  • Sharing your account credentials with unauthorised individuals or competitors.

Consequences of Violation

  • Any violation of this Acceptable Use Policy constitutes a material breach of these Terms and may result in immediate suspension or termination of your account without refund.
  • We reserve the right to pursue legal remedies for any violations that cause harm to the Platform, its users, or third parties.

7. Intellectual Property

Our Ownership

  • All content, features, functionality, software, design, graphics, text, algorithms, calculation methodologies, and other materials on MFDTools.in are the exclusive intellectual property of MFDTools.in or its licensors.
  • The MFDTools.in name, logo, and all associated trademarks and service marks are owned by us. No licence or right is granted to you to use these marks without our prior written consent.
  • This includes but is not limited to: proprietary calculator formulas, report templates, analytical frameworks, UI/UX designs, and codebase.

Your Licence

  • Upon active subscription, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform and its features for your personal professional use.
  • This licence automatically terminates upon subscription expiry or account termination.

Your Content

  • You retain ownership of any client data, notes, and inputs you enter into the Platform.
  • By using the Platform, you grant us a limited, non-exclusive licence to process, store, and use your inputs solely for the purpose of providing the service (e.g., generating calculations and reports).
  • We do not claim ownership of your client data and will not use it for any purpose other than delivering the service, as detailed in our Privacy Policy.

8. Limitation of LiabilityImportant

To the Fullest Extent Permitted by Law

  • MFDTools.in, its directors, employees, partners, and affiliates shall NOT be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, loss of data, loss of business opportunities, financial losses, or reputational harm arising from or related to your use of or inability to use the Platform.
  • We do not warrant that the Platform will be available 100% of the time, error-free, or free of viruses or other harmful components. Temporary interruptions for maintenance, upgrades, or force majeure events may occur.
  • We do not guarantee the accuracy, completeness, timeliness, or reliability of any calculation, projection, report, or data displayed on the Platform. Mutual fund data (NAV, returns, ratings, etc.) is sourced from public sources and may be subject to delays or inaccuracies beyond our control.

Maximum Liability Cap

  • In no event shall our total aggregate liability to you for all claims arising from or related to these Terms or the Platform exceed the total subscription fees you have actually paid to us in the 12 months immediately preceding the event giving rise to the claim.
  • This liability cap applies regardless of the legal theory on which the claim is based (contract, tort, negligence, strict liability, or otherwise).

9. IndemnificationImportant

Your Indemnity Obligation

  • You agree to indemnify, defend, and hold harmless MFDTools.in, its directors, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
  • Your breach of any provision of these Terms.
  • Your violation of any applicable law, regulation, or third-party right.
  • Your use of Platform outputs in client interactions, including any claims by your clients regarding investment advice, suitability, or financial losses.
  • Any content you upload, input, or transmit through the Platform.
  • Your unauthorised use of or access to the Platform.
  • Any dispute between you and your clients that involves or references MFDTools.in outputs.

10. Termination

Termination by You

  • You may terminate your account at any time by contacting us at query@mfdtools.in. Upon termination, your access to premium features will cease immediately.
  • No refund will be provided for the remaining portion of your subscription period upon voluntary termination.

Termination by Us

  • We may suspend or terminate your account immediately, with or without notice, if: (a) you materially breach these Terms; (b) you engage in any prohibited activity; (c) your ARN/RIA registration is suspended, cancelled, or expires; (d) we reasonably believe your use of the Platform poses a legal, security, or reputational risk.
  • We may also terminate or discontinue the Platform (in whole or in part) with 30 days' notice to active subscribers.

Effect of Termination

  • Upon termination, your right to access the Platform and all premium features ceases immediately.
  • Provisions of these Terms that by their nature should survive termination will remain in effect, including but not limited to: Intellectual Property, Disclaimer of Investment Advice, Limitation of Liability, Indemnification, and Governing Law.

11. Data Portability & Deletion

Data Export

  • You may request an export of your account data (inputs, saved calculations, and client data) in a structured, machine-readable format by contacting query@mfdtools.in. We will endeavour to fulfil such requests within 15 business days.

Account Deletion

  • You may request permanent deletion of your account and associated data by emailing query@mfdtools.in from your registered email address.
  • Upon confirmed deletion request, we will remove your personal information and data from our active systems within 30 days, except where retention is required by applicable law (e.g., payment records retained for tax compliance).
  • Account deletion is irreversible. Once deleted, your data cannot be recovered, and you would need to create a new account and subscription to use the Platform again.

12. Governing Law & Dispute Resolution

Governing Law

  • These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Dispute Resolution

  • In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Platform, you agree to first attempt to resolve the matter amicably by contacting us at query@mfdtools.in. We will attempt to resolve the dispute within 30 days of receiving your written notice.
  • If the dispute cannot be resolved amicably, it shall be submitted to the exclusive jurisdiction of the courts in India, specifically the courts having jurisdiction over the location where MFDTools.in is registered.
  • You agree to waive any right to bring or participate in class action lawsuits or collective arbitration against MFDTools.in.

13. General Provisions

Severability

  • If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Waiver

  • Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us.

Entire Agreement

  • These Terms, together with the Privacy Policy and any additional terms communicated to you for specific features, constitute the entire agreement between you and MFDTools.in regarding the use of the Platform, and supersede all prior or contemporaneous communications, representations, or agreements.

Assignment

  • You may not assign or transfer these Terms or your account to any third party without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.

Language

  • These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
